These are the standard Terms and Conditions governing all Partner Plus client engagements. They apply to all services unless superseded by a separately executed Master Services Agreement. Engaging Partner Plus for any service constitutes acceptance of these terms.
- "Client" refers to the party engaging Partners Plus for services.
- "Services" means all consulting, implementation, and management services provided by Partners Plus.
- "Agreement" refers to the contract between Partners Plus and the Client, including these terms.
- For non-account customers, payment is required in full prior to commencement of works.
- For approved account holders, payment is due within 14 days of invoice, unless otherwise agreed.
- Late payments may incur interest at 2% per month and/or result in suspension of services.
- Credit terms are available upon approval.
- To apply, please request an Account Application Form.
- Partners Plus reserves the right to withdraw or amend credit terms at any time.
- A detailed scope of services will be outlined in a proposal or project plan prior to commencement.
- Any changes to scope must be agreed upon in writing and may incur additional charges.
Both parties agree to keep confidential any proprietary or sensitive information exchanged during the engagement.
Unless otherwise agreed, all materials, processes, and intellectual property developed by Partners Plus remain the property of Partners Plus.
The Client is granted a non-exclusive licence to use deliverables solely for internal business purposes.
Partners Plus is not liable for any indirect, special, or consequential loss arising from the provision of services. Liability is limited to the total amount paid by the Client for the specific service in question.
Either party may terminate the agreement with 14 days' written notice. Work completed up to the date of termination will be invoiced and payable.
This Agreement is governed by the laws of the State of Queensland, Australia.
